I had an amazing conversation with JJ Zhuang, Instacart’s Chief Architect, who has shepherded over 50 AI-driven initiatives to market across the org. Open-source models can be a strong lever for increasing gross margins at AI companies, especially those that have hefty cost structures (e.g., enterprise sales orgs that require significant customer success or implementation resources, as well forward-deployed AI services models common in healthcare and life sciences). Of note: Your health records are coming to new apps This in an interesting change, and a somewhat Epic change. All puns intended. If you don’t know, the leading medical record storage solution in the US is operated by Epic. A rather critical problem is that if you walk (well drive) between two hospital in the US, the medical records tend not to follow you, unless you carry a large Manila envelope. Having Epic (and others) via TEFCA allow export of records arguably allows you to only carry your phone, which is a very siginificant change. This also (arguably) opens up a huge new innovation sector. Epic is one of the organizations that has been helping the US federal government establish the Trusted Exchange Framework and Common Agreement, or TEFCA. The goal being to iron out both the legal and technical requirements for sharing patients' data at scale. Health-care data in the U.S. has historically been siloed and difficult to move around. Clinics, hospitals and health systems can store their information in a variety of formats across dozens of different vendors, and there hasn't been a trusted nationwide mechanism in place for transporting it securely. This means if a patient moves to a different state or visits a new hospital, their medical records tend not follow. PS. Someone broke down the estimated costs of a $15 Sweetgreen salad. We need these cost graphics for digital health to help future founders. Especially for tech enabled cos, the greatest cost is labor. Much of the "value created" is in curation and matching, which means the gross margins are reliant on labor arbitrage. Pay someone $X, but get paid $X+Y% per visit. The challenge with healthcare is that you often have to pick one of two business models: 1. specialized, low volume, high cost, low gross margin % 2. generalized, high volume, low cost, high gross margin % I'd argue founders should focus on gross dollars over the lifetime of the customer (like Jeff Bezos said) instead of gross margin %'s, but we'll leave that for another time. The challenge is that many tech enabled digital health cos have high cost of goods sold (labor) and moderately high product, design, and engineering budgets. We must build differentiated solutions for patients, clinicians, and clients to be out incumbents, however, we're realizing that companies are ultimately valued on the discounted value of future cash flows. And the high SG&A costs at most organizations might be inbalanced to the unit economics of the business. I'm not sure the math pencils out for everyone unfortunately. But I'm just a guy on the internet, would love to hear the thoughts from those smarter than I (you!). Comment below. --- p.s. Should you sell your practice to a VC-Backed MSO Startup? tldr: - new VC-backed startups are forming MSOs to roll up independent practices - The pitch is physicians receive early liquidity from the roll up and are granted ESOP shares that can be used for retirement - Problem is the use of ESOPs with independent practices is not a new concept and has been used with large group practices since the 70's - ESOPs do not grant full ownership and in order for the shares to be valuable for retirement, the practice needs to run the same if not better post roll up - With VC-backed startups being primarily operated by non-physicians with zero clinical or medical practice experience, the likelihood of this happening is extremely low making the entire concept high risk However, there is a viable path for continued ownership + liquidity for independent practices. There seems to be a misunderstanding on why/how AEC firms should acquire technology product companies. I have spent the last decade helping AEC firms figure this out. Foundational questions to be answered. - How do we monetize our innovation strategy? - How do we align innovation to provide a new product to existing markets AND/OR does the acquisition open a new market where we can provide our existing services? - Do we have the right culture to work with a team that is likely counter culture? - Do we know how to provide financial governance to a business model that we have no experience with? These are just a few.

🔍 AI Fuels Optimism in San Francisco’s Office Market Recent data reveals that AI companies are significantly impacting San Francisco's office market: - 25% of all leasing activity in San Francisco since 2023 is driven by AI tenants. - AI firms are leading the market in net positive demand, one of the few sectors expanding their footprint. - Paramount Group noted “clear signs” of increased demand, largely due to AI companies prioritizing in-person collaboration. - Hudson Pacific Properties reported improvements across West Coast markets, with San Francisco showing the most promise. Crime is down, transit ridership is up, and sublease availability is declining. There’s no one-size-fits-all approach to scaling a business, but the key is making intentional decisions about how you choose to grow. 🥾 Bootstrapping gives you control but might mean slower growth 🏦 Venture capital fuels fast growth but comes with trade-offs 🔋 A hybrid approach can balance both—but it requires discipline. At York IE, we believe that your growth strategy should reflect your goals, values, and market reality. Don’t chase hypergrowth for the sake of it. Be pragmatic, preserve optionality, and stay in control of your company’s fate.

Some VC investors believe that brick and mortar - referring to a physical presence of some kind - should be avoided at all costs. Yet, the track record of clinic and hybrid care businesses in health care indicates otherwise. ==> One Medical (sold for $3.9 billion to Amazon), Oak Street (bought by CVS for $10.6 billion), Lifestance (IPO at $7.5 billion market cap), and PE-backed Premise Health (acquired by OMERS Private Equity for $1.1 billion) If a clinic is indicated as the optimal way to deliver care for that patient population, there are creative ways to build and operate them. "More than $12.5 billion has been bet on digital behavioral health in the last five years, according to Rock Health. Funding peaked in 2021, with $5.7 billion spent that year alone." As investors and innovators, I believe we need to broaden our focus in the behavioral health space from just expanding access to care, to effectively measuring the quality of that care. As we continue to encourage individuals, employers and plans to increase their spending and focus on behavioral health, we need reliable tools for measuring the long-term efficacy and impact of behavioral health services.
